1. About these Terms
These Terms govern your access to and use of the AnyCart website at www.anycart.me, including its public demos, forms, webchat experiences and other public-facing online features (together, the “Website”).
AnyCart is a product operated by Cerebral Circuit (Pty) Ltd, registration number 2023/119759/07 (“Cerebral Circuit”, “AnyCart”, “we”, “us” or “our”).
AnyCart is a conversational commerce product that helps e-commerce businesses support product discovery, recommendations, cart building, checkout and related shopping experiences.
By using the Website, you agree to these Terms. Where we ask you to confirm these Terms before using a demo or other interactive feature, your confirmation records your acceptance of them.
If you do not agree to these Terms, you should not use the Website or its interactive features.
These Terms apply only to the public AnyCart Website and public demo functionality. They do not govern a paid AnyCart deployment for a merchant. Merchant clients enter into a separate Merchant Services Agreement with Cerebral Circuit.
Using the Website, requesting a demo or interacting with a public demo does not itself create a merchant-client relationship between you and Cerebral Circuit.
2. Website and demo use
The Website is provided for information, product evaluation and demonstration purposes.
AnyCart may make public or limited-access demos available so that prospective merchants and other users can explore how the product works.
Unless we expressly state otherwise, a demo:
- is an evaluation environment rather than a production deployment;
- may use limited, example, test or live-connected information depending on the demo;
- may not include all functionality available in a merchant deployment;
- is not a customer support service; and
- does not guarantee how a final merchant deployment will perform.
AnyCart-generated responses
AnyCart uses automated systems to understand requests, retrieve information and generate responses.
Those responses may sometimes be inaccurate, incomplete, delayed, unsuitable or based on incomplete information.
Product recommendations are suggestions rather than guarantees of suitability.
Where pricing, stock, variants, availability, delivery terms or other product information is relevant to a purchase, the information presented by the relevant merchant's official store or checkout at the time of purchase takes precedence.
You should not rely on a public AnyCart demo for legal, financial, medical, safety or other professional advice.
Purchases through third-party stores
A demo may provide links to a merchant's website, Shopify store, cart or checkout environment.
If you choose to purchase goods or services from a merchant through such a link:
- the transaction is between you and that merchant;
- the merchant remains the seller and merchant of record;
- the merchant determines the final price, stock availability, delivery terms, returns, refunds, warranties and other terms of sale; and
- the merchant's own terms and privacy policy may apply.
Cerebral Circuit does not become the seller of a merchant's goods merely because AnyCart helped you discover a product or reach the merchant's checkout.
3. Acceptable use
You may use the Website and demos for lawful information, evaluation and ordinary product-testing purposes.
You must not use the Website or any demo:
- for any unlawful, fraudulent, harmful, abusive or deceptive purpose;
- to submit malicious code, malware, viruses or harmful material;
- to interfere with the security, integrity, availability or operation of the Website or our systems;
- to gain or attempt to gain unauthorised access to an account, integration, system, database or service;
- to probe, scan or test the Website for security vulnerabilities without our prior written permission;
- to bypass technical restrictions, usage limits or access controls;
- to scrape, harvest or systematically extract information from the Website without permission;
- to impersonate another person or misrepresent your identity or authority;
- to submit information that you are not authorised to provide;
- to infringe another person's intellectual property, privacy or other rights; or
- to assist another person to do any of the above.
You should not submit payment-card information, passwords, API keys, access tokens, identity documents or other credentials through a public AnyCart demo.
You should also avoid submitting sensitive, confidential or unnecessary personal information through a public demo.
4. Information you provide and feedback
If you submit information through the Website, a form, a demo or webchat, you must ensure that:
- the information is reasonably accurate;
- you are authorised to provide it; and
- your submission does not violate applicable law or another person's rights.
You remain responsible for information and content you submit.
You give Cerebral Circuit permission to host, process, transmit and use submitted information to the extent reasonably necessary to operate the Website or demo, respond to you, maintain security and provide the functionality you requested.
Personal information is handled in accordance with the AnyCart Privacy and Personal Information Policy.
If you provide feedback, ratings, suggestions, comments or ideas about AnyCart, we may use that feedback to develop, improve or modify AnyCart without owing you compensation or giving you ownership of any resulting changes.
5. Intellectual property
The Website and AnyCart platform contain intellectual property owned by or licensed to Cerebral Circuit.
This includes, where applicable, the AnyCart name and branding, website content, designs, software, interfaces, demos, workflows, product logic, documentation, graphics and other materials.
You may view the Website and use public demos for ordinary informational, evaluation and internal business-review purposes.
You may also share publicly available AnyCart material internally within your organisation for those purposes.
Unless permitted by law or agreed by us in writing, you may not:
- reproduce or commercially exploit a substantial part of the Website or AnyCart platform;
- modify, distribute, resell or sublicense the Website or demo functionality;
- reverse engineer or attempt to extract non-public source code or underlying systems;
- remove proprietary notices; or
- use AnyCart branding in a way that suggests endorsement, partnership or affiliation where none exists.
Nothing in these Terms transfers ownership of Cerebral Circuit or AnyCart intellectual property to you.
6. Third-party platforms and services
The Website and demos may interact with or link to third-party platforms, websites and services.
These may include e-commerce platforms, merchant websites, Shopify, communications services, hosting providers or other external services.
Those third parties operate independently from Cerebral Circuit and may have their own terms, privacy policies and technical requirements.
We do not control third-party platforms and cannot guarantee their availability, security, accuracy or continued operation.
Where a problem is caused by a third-party platform rather than the AnyCart Website itself, that issue may need to be addressed with the relevant third party.
7. Availability, important disclaimers and liability
IMPORTANT: This section limits the warranties we give about the Website and the circumstances in which Cerebral Circuit may be liable for loss arising from its use. Nothing in this section excludes or limits any right or liability that cannot lawfully be excluded or limited.
The Website and public demos are provided on an “as available” basis.
We use reasonable efforts to keep them useful, functional and secure, but we do not guarantee that:
- the Website or a demo will always be available or uninterrupted;
- every AnyCart-generated response will be accurate or complete;
- a demo will understand every request correctly;
- a recommendation will be suitable for a particular person;
- third-party information will always be current;
- a demo will reflect the exact behaviour of a production merchant deployment; or
- use of AnyCart will produce any particular commercial, conversion, sales or revenue result.
The Website may be interrupted or affected by maintenance, internet failures, hosting failures, third-party platform outages, provider changes, security incidents or other circumstances outside our reasonable control.
To the fullest extent permitted by applicable law, Cerebral Circuit will not be liable for indirect, incidental, special or consequential loss arising solely from your use of, or inability to use, the public Website or a public demo, including loss of anticipated profit, revenue, opportunity or goodwill.
Cerebral Circuit is not responsible for loss resulting from:
- your reliance on demo information that was clearly provided for evaluation purposes;
- inaccurate information supplied by you or a third party;
- goods or services sold by a merchant;
- a merchant's pricing, stock, fulfilment, delivery, returns, refunds, warranties or customer service;
- your use of a third-party website, platform or checkout; or
- your unlawful or unauthorised use of the Website.
Nothing in these Terms excludes or limits any warranty, right, remedy or liability that may not lawfully be excluded or limited under applicable South African law.
8. Changes, suspension and access
We may update, modify, replace or discontinue Website content, demos or features from time to time.
We may restrict, suspend or block access to the Website or a demo where we reasonably believe that:
- these Terms have been breached;
- the Website is being abused;
- there is a security threat or suspected unauthorised access;
- continued access may cause harm to another person or system;
- access would violate applicable law or third-party platform requirements; or
- suspension is reasonably necessary to protect the Website or its users.
Where practical, we may provide notice of significant planned changes or interruptions, but we are not required to provide advance notice for urgent security, legal or operational changes.
We may update these Terms from time to time. The current version and its effective date will be published on the Website. If a material change affects your use of an interactive AnyCart feature, we may require you to accept the updated Terms before continuing to use that feature.
9. Privacy
Our processing of personal information through the public AnyCart Website and public demos is explained in the AnyCart Privacy and [Personal Information Policy].
If you interact with AnyCart through a merchant's website, store, WhatsApp account or other merchant-controlled environment, the merchant's own privacy notice may also apply.
In a merchant-controlled deployment, the merchant will generally determine why shopper information is processed and Cerebral Circuit may process that information on the merchant's behalf.
10. General legal terms and contact details
These Terms are governed by the laws of the Republic of South Africa.
The courts of the Republic of South Africa will have non-exclusive jurisdiction over disputes arising from these Terms or use of the Website, subject to any rights or dispute-resolution mechanisms available under applicable law.
If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
If we do not immediately enforce a right under these Terms, that does not mean we have waived that right.
